Terms of Service

1. Acceptance of these terms

These Terms of Service ("Terms") govern access to and use of the website rtbnest.com, its subdomains, and the RTBNest advertising exchange, including OpenRTB endpoints, XML and JSON feeds, Smart Links, tracking links and the partner dashboard (together, the "Services"), operated by NEMESIDA SMART DATA LTD, a company registered in the Republic of Cyprus under registration number HE 465547, under the RTBNest brand ("RTBNest", "we", "us").

By accessing or using the Services, you agree to these Terms on behalf of yourself and the company you represent ("Partner", "you"). If you do not agree, do not use the Services. A separate written agreement or insertion order signed with RTBNest takes precedence over these Terms where they conflict.

2. The Services

RTBNest provides a technology platform that receives advertising requests from supply partners (publishers, SSPs and traffic sources) and offers them in real-time auctions to demand partners (advertisers, DSPs and XML feed partners). Our primary formats are Smart Link and Popunder traffic. We may add, change or remove features at any time.

RTBNest acts as an intermediary technology provider. We do not create advertisers' creatives or landing pages and do not control publishers' websites or apps.

3. Accounts and eligibility

• The Services are for businesses only. You must be at least 18 years old and authorised to bind your company.
• You must provide accurate and complete information and keep it up to date.
• You are responsible for keeping your credentials and API keys confidential and for all activity under your account.
• We may approve or decline any partner application at our discretion and may request identity or business verification (KYC) at any time.

4. Publisher and supply partner obligations

• Send only traffic generated by real human users who interact with your properties in good faith;
• Accurately declare traffic sources, formats, GEOs and other request parameters;
• Obtain all consents and provide all notices required by applicable law (including GDPR, ePrivacy rules and US state privacy laws) and pass valid consent signals with requests;
• Not place ads on properties that contain prohibited content as listed in Section 6;
• Not modify, hide or interfere with ads, Smart Links, tracking or reporting.

5. Advertiser and demand partner obligations

• Ensure that all creatives, offers and landing pages are lawful, accurate and not misleading, and that you hold all rights to them;
• Not distribute malware, forced downloads, phishing, unwanted software or deceptive redirects;
• Comply with advertising, consumer protection and sector-specific laws in every targeted GEO;
• Respond to bid requests in accordance with the integration specification and honour won auctions;
• Maintain sufficient prepaid balance or credit limit for your campaigns.

6. Prohibited content and traffic

The following are not permitted on either side of the exchange:

• Content involving minors in any sexual context, non-consensual content, or illegal pornography;
• Malware, spyware, cryptojacking, phishing, fake system alerts or tech-support scams;
• Content that infringes intellectual property or privacy rights;
• Illegal goods or services, including illegal drugs, weapons and counterfeit products;
• Hate speech, incitement to violence or terrorism;
• Unlicensed gambling, unlicensed financial services, or fraudulent investment schemes;
• Bot, emulator, incentivised (unless agreed in writing), hidden, stacked, auto-refreshed or otherwise invalid traffic;
• Traffic from properties directed at children.

7. Traffic quality and fraud

We filter traffic using automated and manual checks. We may reject requests, block sources, hold or reverse payments, and adjust statistics for traffic that we reasonably determine to be invalid, fraudulent or in breach of these Terms. Where a demand partner provides evidence of invalid traffic within the reconciliation period, we may adjust amounts accordingly.

8. Statistics and payments

• RTBNest statistics are the basis for all billing and payouts, unless otherwise agreed in writing.
• Advertisers pay in advance or according to agreed credit terms. Prepaid funds are used for campaign spend and are generally non-refundable except for unused balances on account closure, less any amounts owed.
• Publishers are paid for valid traffic according to the payment schedule, minimum threshold and payment methods shown in their account or agreed in writing.
• Discrepancies must be reported in writing within 30 days after the end of the relevant billing period; otherwise statistics are deemed accepted.
• Each party is responsible for its own taxes, bank fees and currency conversion costs.

9. Data protection

Each party will comply with applicable data protection laws. Our handling of personal data is described in our Privacy Policy and Cookie Policy. Where required, the parties will enter into a data processing agreement or other data protection terms.

10. Intellectual property

RTBNest and its licensors own all rights in the Services, software, documentation, trademarks and logos. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services during the term solely for your internal business purposes. You may not reverse engineer, copy, resell or create derivative works of the Services. You grant us a licence to use your creatives, names and logos as needed to provide the Services.

11. Confidentiality

Each party will keep confidential the non-public information it receives from the other, including pricing, statistics, technical specifications and partner lists, and will use it only for the purposes of the relationship.

12. Disclaimers

The Services are provided "as is" and "as available". To the maximum extent permitted by law, RTBNest disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee any specific volume of traffic, fill rate, revenue, price or campaign result, or that the Services will be uninterrupted or error-free.

13. Limitation of liability

To the maximum extent permitted by law, RTBNest will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability arising out of or relating to the Services is limited to the amounts paid or payable between you and RTBNest in the three (3) months preceding the event giving rise to the claim.

14. Indemnification

You will defend, indemnify and hold harmless RTBNest and its officers, employees and partners from any claims, damages, losses and expenses (including reasonable legal fees) arising from your content, traffic, campaigns, breach of these Terms or violation of law or third-party rights.

15. Suspension and termination

Either party may stop using the Services at any time. We may suspend or terminate your access immediately if you breach these Terms, if required by law, or if your activity creates risk for RTBNest or other partners. Sections that by their nature should survive termination (including payments, confidentiality, disclaimers, limitation of liability and indemnification) will survive.

16. Governing law and disputes

These Terms are governed by the laws of the Republic of Cyprus, without regard to conflict-of-laws rules. The parties will first try to resolve any dispute in good faith by contacting each other in writing. Disputes that cannot be resolved within 30 days will be submitted to the competent courts of the Republic of Cyprus, unless mandatory law provides otherwise.

17. Changes to these Terms

We may update these Terms from time to time. The updated version takes effect when posted on this page, and continued use of the Services after that constitutes acceptance. For material changes, we will make reasonable efforts to notify active partners in advance.
